Add Director to Your Company: The Complete Process, from DIN to DIR-12
To add a director to a private limited company in India, the incoming person needs a DIN and gives written consent, the board (or the shareholders) passes a resolution, and the company files Form DIR-12 with the Registrar of Companies within 30 days of the appointment. Most delays come from the first step, because a DIN application takes time and the 30-day clock does not wait for it.

Key Takeaways
The DIR-12 deadline is 30 days from the date the appointment takes effect, under Section 170(2) of the Companies Act, 2013.
A board can appoint an additional director only if the articles of association allow it. If they do not, the shareholders appoint.
The new director must give written consent in Form DIR-2 before being appointed, and a non-disqualification declaration in Form DIR-8.
The DIR-12 fee runs from ₹200 to ₹600 by share capital. Late filing multiplies it from 2× to 12×.
An additional director holds office only until the next annual general meeting, so plan the regularisation too.
Choose Your Route First
Two routes lead to the same filing. Pick yours before you draft anything:
| Route A: Board Appoints | Route B: Shareholders Appoint |
| When it applies | The articles give the board power to appoint additional directors | The articles are silent, or the members want to make the appointment themselves |
| Resolution | Board resolution under Section 161(1) | Ordinary resolution at a general meeting under Section 152 |
| Meeting needed | Board meeting | AGM or an extraordinary general meeting (EGM) |
| Term | Until the next AGM, then regularise | Normal term, subject to the articles |
| Speed | Faster | Slower, because of member notice |
Open your articles of association and look for a clause on additional directors. That one clause decides whether you need an EGM at all. If the articles need changing first, that is a special resolution and a separate filing, so factor in more time.
Check the Board Before You Add Anyone
The Act sets floors and ceilings on board size. A private company needs at least two directors, a one-person company needs one, and a public company needs three. Fifteen is the ceiling unless a special resolution raises it. Every company must also have at least one director who stayed in India for 182 days or more in the previous calendar year. If your only resident director is leaving, the new appointment should fix that.
The Act also bars certain people from being directors, for example those who have defaulted on filings for continuing periods. The incoming director's DIR-8 declaration covers this under Section 164. Ask the person about it plainly before you spend money on forms.
DIN Registration for the New Director
Every director needs a Director Identification Number. If the person already holds one, confirm it is active, because a DIN deactivated for missed KYC blocks the appointment. If the person has none, the DIN application goes through the MCA V3 portal with identity and address proof, a photograph, and PAN or passport details. Foreign nationals use a passport, and the documents usually need notarisation or apostille, so allow extra time.
DIN allotment is not instant. Start it before the board meeting, not after, because you cannot appoint someone without a DIN. Get a class 3 digital signature certificate (DSC) for the director at the same time, since MCA filings the director later signs require one.
Documents Required to Add a Director in a Private Limited Company
Collect these from both sides:
From the Incoming Director
- PAN card and Aadhaar, or passport for a foreign national
- Address proof (bank statement or utility bill) and a passport-size photograph
- DIN, or the documents to apply for one
- Form DIR-2, consent to act as a director
- Form DIR-8, declaration that no disqualification applies under Section 164
- Disclosure of other directorships and interests in Form MBP-1, which the company keeps and does not file
From the Company
- Copy of the articles of association and a list of current directors
- Notice, agenda, and minutes of the meeting
- Board resolution or shareholders' resolution, certified as a true copy
- Letter of appointment
- Registered office proof, in case the Registrar asks
Board Resolution for Appointment of Director
A board meeting needs at least seven days' notice unless the directors agree to shorter. The resolution should name the person, state the DIN, cite Sections 152 and 161(1) of the Companies Act, 2013, say the appointment is as additional director until the next AGM, and authorise a director or the company secretary to sign and file Form DIR-12. Record that DIR-2 and DIR-8 were received before the vote, because consent has to precede the appointment.
When You Need an EGM
You hold an EGM when shareholders must act and the next AGM is too far away. Typical cases: the articles do not allow board appointments, or the members want to appoint someone to a regular seat. A general meeting needs 21 clear days' notice unless members holding at least 95% of voting rights agree to shorter notice. The notice must carry an explanatory statement under Section 102. If every member signs a consent for short notice, the meeting can happen in days rather than weeks.
Step by Step: The Process to Add a Director in a Company
Ten steps from articles to bank records:
1
Read the Articles
Decide Route A or Route B.
2
Start the DIN and DSC
For the incoming director.
3
Collect DIR-2, DIR-8 and Identity Documents
Consent must come before the vote.
4
Send the Meeting Notice
Board meeting, or the EGM if you are on Route B.
5
Pass the Resolution
Sign the minutes.
6
Issue the Letter of Appointment
Keep a copy for the DIR-12 attachments.
7
File DIR-12 Within 30 Days
On the MCA V3 portal, with DIR-2, the letter of appointment, and the resolution attached as the form requires.
8
Update the Registers
Enter the director in the register of directors under Section 170 and file MBP-1 in the company records.
9
Regularise at the Next AGM
If the person came in as an additional director, file DIR-12 again for the change in status within 30 days of that meeting.
10
Inform Your Bank
Update signatory records where the director will operate accounts.
Mistakes That Cost Time
Appointing before the DIN is allotted or active
Taking DIR-2 consent after the board vote instead of before it
Forgetting that the articles must authorise board appointments
Counting the 30 days from the filing date, not the effective date
Skipping regularisation, so the additional director's term ends at the AGM
Confusing forms. INC-22 reports a change of registered office. For an LLP partner, the form is LLP Form 4, not DIR-12
MCA DIR-12 Filing for Appointment of Director
DIR-12 is the notice to the Registrar about changes in directors and key managerial personnel. The company files it under Rules 17 and 18 of the Companies (Appointment and Qualification of Directors) Rules, 2014. An authorised officer signs it digitally, and a practising professional certifies it where the form calls for that. Keep the SRN and the acknowledgement with your statutory records. The filing is only complete when the portal shows it as filed, so do not rely on a draft saved in your account.
Common miss: the 30 days run from the date the appointment takes effect, not from the day you finish the paperwork. If the board resolution says the appointment starts on the date of the meeting, count from that date.
DIR-12 Fees and the Cost of Filing Late
The normal fee depends on the company's nominal share capital and runs from ₹200 to ₹600. A company without share capital pays a flat ₹200. Check the current schedule on the MCA portal. Filing after the 30-day window adds a multiple of the normal fee:
| Delay | Additional Fee |
| Up to 30 days | 2× normal fee |
| 31 to 60 days | 4× |
| 61 to 90 days | 6× |
| 91 to 180 days | 10× |
| Beyond 180 days | 12× |
Example: A company whose normal fee is ₹300 files 45 days late. The additional fee is 4 × ₹300 = ₹1,200, on top of the ₹300. Some web pages still quote ₹100 per day with no cap for DIR-12. The Registration Offices and Fees Rules use the multiples above, so budget from the table and let the portal compute the exact amount.
Fees are not the only exposure. A separate penalty under Section 172 can be imposed on the company and its officers for the default. The amounts are set by the Act, so check the current text on India Code. The relief scheme that ran in 2026 had a fixed window, 15 April to 15 July, and it is closed. Do not count on a waiver.
