LLP Form 11: How to File Your LLP's Annual Return with the MCA
LLP Form 11 is the annual return every limited liability partnership files with the Registrar of Companies, and it is due within 60 days of the financial year end, which means 30 May for an LLP on the usual April-to-March year. It lists who your partners are and how much they have contributed. You file it even if the LLP did no business, earned nothing, or exists only on paper.
Legal Basis
Section 35, LLP Act
Key Takeaways
Form 11 for FY 2025-26 was due on 30 May 2026. For FY 2026-27, the date is 30 May 2027.
It records partner and contribution details. It does not contain your accounts, which go in a separate filing.
The government fee depends on total contribution and runs from ₹50 to ₹600.
Late filing is charged as a multiple of that fee, scaled by how long you wait. The old flat ₹100-per-day rule was replaced from 1 April 2022.
A dormant LLP must still file. A nil return is a return.
What LLP Form 11 Is
Form 11 is the annual return prescribed under Rule 25 of the LLP Rules, 2009, made under Section 35 of the LLP Act, 2008. Think of it as the yearly census of your LLP. It confirms to the Registrar who the partners and designated partners are, what each has put in, and whether anything changed during the year. The accounts and solvency statement have their own form, covered on our Form 8 filing page, so this page stays on the annual return alone.
LLP Form 11 Due Date
The 60-day limit counts from the close of the financial year:
| Financial Year |
Form 11 Due Date |
| FY 2025-26 (1 April 2025 to 31 March 2026) |
30 May 2026 |
| FY 2026-27 (1 April 2026 to 31 March 2027) |
30 May 2027 |
An LLP incorporated after 30 September may close its first financial year on 31 March of the following year, so its first return falls due later. Check the MCA website for any extension circular before you plan around a date.
Still pending for FY 2025-26? If you are reading this in October 2026 and have not filed, the return is more than 130 days late. The fee tier changes again after the 180-day mark in late November 2026, so filing before then keeps you in the current tier instead of the next, higher one.
Who Has to File Form 11
Every registered LLP, with no turnover threshold and no exemption for dormant entities. If the LLP was incorporated during the year, it files for that year too. A small LLP, meaning contribution up to ₹25 lakh and turnover up to ₹40 lakh, files the same form as everyone else. Small LLP status only lowers the late-fee multiples.
What Information Form 11 Contains
The form asks for:
LLP name, LLPIN, registered office, and email address
Partner and designated partner details, including DPIN or DIN
The total contribution agreed and the amount received
Changes in partners during the year
Details of any penalty or prosecution under the LLP Act
The form draws on what the MCA already holds about your LLP. If a partner change or agreement change is still pending, clear it first, because a return that disagrees with the registry record invites questions. In practice, we reconcile Form 4 and Form 3 filings before opening Form 11.
Documents Required for LLP Form 11
Keep these ready before you log in:
LLPIN and registered office details
Current list of partners and designated partners, with DPIN or DIN
Contribution details: amount agreed and amount received, partner by partner
Records of any changes in partners during the year
Class 3 digital signature certificate (DSC) of a designated partner, valid and registered on the portal
Professional certification details, if your LLP crosses the limits in the next section
Details of any penalty or prosecution imposed during the year
Professional Certification
| Your LLP |
What Is Needed |
| Total contribution above ₹50 lakh, or turnover above ₹5 crore |
A practising Chartered Accountant, Company Secretary, or Cost Accountant must certify the return before it is filed |
| Below both limits |
A designated partner's digital signature is enough |
Confirm the limit against the current LLP Rules, since certification is a common point of confusion.
MCA LLP Annual Return Filing Fees
The normal fee depends on the LLP's total contribution:
| Total Contribution |
Fee |
| Up to ₹1 lakh | ₹50 |
| ₹1 lakh to ₹5 lakh | ₹100 |
| ₹5 lakh to ₹10 lakh | ₹150 |
| ₹10 lakh to ₹25 lakh | ₹200 |
| ₹25 lakh to ₹1 crore | ₹400 |
| Above ₹1 crore | ₹600 |
These are government fees, paid on the portal. Professional charges and DSC costs are separate. Check the LLP portal for the current schedule.

Penalty for Late Filing of LLP Form 11
The additional fee for a late Form 11 is a multiple of the normal fee. It has worked this way since the LLP (Amendment) Rules, 2022 took effect on 1 April 2022.
| Delay |
Small LLP |
Other LLP |
| Up to 15 days | 1× | 1× |
| 16 to 30 days | 2× | 4× |
| 31 to 60 days | 4× | 8× |
| 61 to 90 days | 6× | 12× |
| 91 to 180 days | 10× | 20× |
| 181 to 360 days | 15× | 30× |
| Beyond 360 days | 15× plus ₹10 per day beyond 360 days | 30× plus ₹20 per day beyond 360 days |
Two Worked Examples
Small LLP, ₹2 lakh contribution
Normal fee: ₹100. Filing 136 days late.
Additional fee: 10 × ₹100
₹1,000 extra
Other LLP, ₹30 lakh contribution
Not a small LLP; normal fee: ₹400. Filing 400 days late.
30 × ₹400 = ₹12,000, plus ₹20 × 40 days beyond 360 = ₹800
₹12,800 in total
On the ₹100-per-day figure: it was the rule until 31 March 2022, and plenty of websites still repeat it. Applying it today gives a number that differs from what the portal charges, so budget from the table above and let the portal compute the exact fee at payment.
The fee is not the full exposure. The LLP Act separately provides for penalties on the LLP and its designated partners when an annual return is not filed, and sustained non-filing can lead the Registrar to start striking-off action under Section 75. You can read the Act on
India Code.
Common Mistakes With Form 11
Avoid these five common errors:
Assuming a dormant LLP can skip the return.
Filing while Form 4 or Form 3 changes are still pending, which leaves partner data out of line with the record.
Starting the filing on the last day with an expired DSC.
Reporting contribution figures that differ from the LLP agreement.
Reading a pre-2022 article and expecting a flat daily charge.
