Director Change in India: Appointment, Resignation, Removal and Designation Change

A director change in India is complete only when the company reports it to the Registrar of Companies on Form DIR-12 within 30 days, whether you are appointing, accepting a resignation, removing someone or changing a designation. The board or shareholder decision is the first half. The MCA filing is the half that makes it legally visible.

Key takeaways

Form DIR-12 is due within 30 days of every director appointment, cessation or change in particulars (Section 170(2), Companies Act 2013).
A new director needs a DIN, a Form DIR-2 consent, a DIR-8 declaration and an MBP-1 disclosure before the company files.
Resignation takes effect from the date the company receives the notice or the date mentioned in it, whichever is later. The company files DIR-12, and the resigning director may file DIR-11.
Removal under Section 169 needs special notice, a hearing for the director and an ordinary resolution.
Board size floors: 2 directors for a private company, 3 for a public company, and at least one director resident in India.

Which director change are you making?

Scenario Who decides Main forms Filing deadline
Appointment (additional director) Board, if the articles allow DIR-2, DIR-8, MBP-1, DIR-12 30 days from appointment
Voluntary resignation Director gives notice; board takes note Resignation letter, DIR-11 (optional), DIR-12 30 days
Removal Shareholders, ordinary resolution Special notice, resolution, DIR-12 30 days from the meeting
Change in designation Board and/or shareholders Resolutions, DIR-12 30 days

Scenario 1: Appointing a director

Appointing a director means getting the person ready, passing the right resolution and then filing. This is the usual change in director procedure for adding someone to a private limited company.

Before the meeting

DIN. The candidate must hold a Director Identification Number. A first-timer applies for one (Form DIR-3) or, in many cases, gets it through the incorporation forms.
Consent in Form DIR-2. The person signs a written consent to act. Section 152(5) requires it, and the company files it with DIR-12.
Form DIR-8. The candidate declares that no disqualification under Section 164 applies.
Form MBP-1. Under Section 184(1), a director discloses the entities in which they hold interests. The company records it and keeps it on file.
Articles check. An additional director can be appointed by the board only if the articles of association give that power. If they do not, the company must go through a general meeting.

The resolution

Most companies take the quick route first: a board resolution for director change appointing the person as an additional director under Section 161(1). That person holds office only until the next annual general meeting, or until the last date by which the AGM should have been held, whichever comes first. The shareholders then confirm the person as a regular director by ordinary resolution under Section 152.

Filing

File DIR-12 with the V3 portal within 30 days, attaching the DIR-2 consent, the board resolution and the identity and address proofs the form asks for. The company also updates its register of directors and key managerial personnel under Section 170(1).

One check that is easy to miss: Section 149(3) requires at least one director who has stayed in India for 182 days or more in the previous calendar year. A candidate who is overseas most of the year does not fix that gap.

Scenario 2: Voluntary resignation

A director resigns by writing to the company. Under Section 168(1), the resignation becomes effective on the date the company receives the notice, or on the later date named in the letter.

The company's steps:

1

Receive the letter

Receive the resignation letter and note the date of receipt.

2

Take it on record

Hold a board meeting (or pass a circular resolution) to take the resignation on record.

3

File DIR-12

File DIR-12 within 30 days of receiving the notice.

4

Report in the directors' report

Report the resignation in the directors' report laid before the next general meeting, as Section 168 requires.

5

Update the registers

Update the statutory registers.

The director's steps: The resigning director may also file Form DIR-11 with the Registrar, stating the reasons for leaving, within 30 days. In a dispute, DIR-11 puts the director's own timeline on the public record, and that is worth having. Resignation does not wipe out earlier liability: a director stays answerable for offences that occurred during their tenure.

The minimum-board trap: If a resignation would take a private company below two directors, or a public company below three, appoint a replacement before the resignation takes effect. Otherwise the company is out of compliance with Section 149. When the departing person is the only resident director, that problem arrives together with the residency requirement.

Scenario 3: Removing a director under Section 169

Section 169 lets a company remove a director before their term ends, by ordinary resolution passed at a general meeting. A director appointed by the Tribunal under Section 242 cannot be removed this way. Shareholders hold this power, not the board, so the sequence matters.

1

Special notice

A shareholder (or group of shareholders) gives special notice of the resolution under Section 115. The notice must reach the company at least 14 days before the meeting. The shareholder must meet the threshold in Rule 23 of the Management and Administration Rules: broadly, 1% of the total voting power, or shares with an aggregate paid-up value of ₹5 lakh.

2

Copy to the director

The company sends the notice to the director concerned immediately.

3

Right to respond

The director may submit a written representation, and the company circulates it to members. If it arrives too late to circulate, it is read at the meeting.

4

Hearing

The director can speak at the meeting, whether or not they hold shares.

5

Vote

A simple majority passes the ordinary resolution.

6

Fill the vacancy

The same meeting can appoint a replacement if special notice of that appointment was also given.

7

File

DIR-12 within 30 days, with a certified copy of the resolution and the supporting meeting papers.

Removal does not erase the director's right to claim compensation or damages under any contract. A director may also lose office under Section 167 for reasons such as disqualification or prolonged absence. That is a separate route, not a substitute for Section 169.

Scenario 4: Changing a director's designation

A designation change happens when the same person moves from one position to another on the board. These are the common cases:

Additional director to regular director. The shareholders pass an ordinary resolution at the AGM or an EGM, before the additional director's term ends. File DIR-12.
Director to Managing Director or Whole-time Director. Under Section 196, the board appoints on the stated terms, and the shareholders approve in general meeting. Check Schedule V for remuneration limits. Public companies may also have to file Form MR-1 for the appointment. We confirm whether it applies to your entity type before filing.
Executive to non-executive (or the reverse). The board resolution records the new role, and DIR-12 reports the change in category.
The 30-day clock starts from the date the change takes effect, not from the date of the paperwork.

What a late filing costs

If DIR-12 goes in after 30 days, the portal charges additional fees on top of the normal filing fee. The company and its officers in default also face the residual penalty under Section 172, which grows with each day of delay. Late filings also leave the public record showing a former director still in office, which can cause trouble for loan applications, tenders and the director's own other board seats. A separate annual task for every DIN holder is the DIR-3 KYC, due each year by 30 September, and a missed KYC deactivates the DIN.

How LegalDev India handles a director change

We prepare the full set for the scenario you are in: the board or shareholder resolution, DIR-2, DIR-8 and MBP-1 formats, the resignation acknowledgment, special notice and meeting papers for a removal, and the register updates. We then file DIR-12 (and assist with DIR-11 where the resigning director wants it) on the MCA V3 portal, track it to approval and hand over the final set for your minute book. If a change would breach the minimum-director or resident-director rule, we flag it before the paperwork starts, not after the Registrar objects. Talk to our secretarial team about the change you are planning.

30 days from the date of appointment, cessation or change, under Section 170(2).

Adding an additional director can be done by board resolution if the articles permit. Removal under Section 169 always needs a general meeting.

No. It takes effect when the company receives the notice, or on the date stated in the letter if that is later.

Two for a private company, three for a public company, and one for a One Person Company. At least one must be resident in India under Section 149(3).

Yes. The director receives the notice, can submit a written representation and may be heard at the meeting.

Until the next AGM, or the last date by which it should have been held, whichever is earlier.

The resignation is valid, but the company must appoint a replacement quickly to stay at the legal minimum.

Yes. Resignation does not remove liability for offences during their tenure.

Possibly. A designation change to Managing Director may need shareholder approval and, for public companies, Form MR-1. Confirm against your company's type and articles.

Don't let DIR-12 slip past 30 days

A late filing leaves a former director on the public record and adds fees and penalties. Let LegalDev India's secretarial team prepare the papers and file DIR-12 on time.
