Introduction
Most small business owners in India can operate for years without an Udyam certificate and never notice the gap — until the day they actually need it. That day usually looks like a bank asking for it before sanctioning a collateral-free loan, a government tender requiring it as a basic eligibility condition, or a client sitting on an unpaid invoice a lot longer than they should be allowed to.
MSME registration — officially called Udyam registration since 2020 — is how the government formally recognises a business as a Micro, Small, or Medium Enterprise. It’s free to file, doesn’t ask for a mountain of paperwork, and takes minutes to complete correctly. The catch is in that last word: correctly. A surprising number of self-filed applications get stuck over something as small as a name that’s spelled slightly differently on Aadhaar than it is on PAN.
This page covers who needs to register, what the 2025-revised classification limits mean for your business, the documents and steps involved, and what LegalDev handles if you’d rather not deal with the portal yourself.

What Is MSME (Udyam) Registration?
Udyam registration is the current, official system for classifying a business as a Micro, Small, or Medium Enterprise under the MSME Development Act, 2006. It runs entirely on the government’s Udyam portal, is based on self-declaration, and cross-checks what you enter against your Aadhaar, PAN, and — where available — your GST and income tax filings. There’s nothing to physically upload.
If the name “Udyog Aadhaar” sounds familiar, that’s the scheme this one replaced. The government retired Udyog Aadhaar registration in July 2020 and moved everything to the Udyam portal. Anyone still referring to “Udyog Aadhaar registration” today means the same certificate — just under its earlier name and an older, less-verified process.
GSTIN Not Required in Every Case
A common misconception is that you need a GST number before you can register under Udyam. You don’t, unless your business already crosses the GST threshold and is required to hold one for that reason. Businesses below the GST threshold — including many micro enterprises — can register on Udyam without a GSTIN at all, and very small informal businesses (street vendors, artisans, and similar) can register through the simplified Udyam Assist Platform instead.
Who Should Register?
Manufacturing units of any size within the MSME limits
Service providers — consultants, agencies, freelancers, professionals
Traders, wholesalers, and retailers
Home-based businesses and online sellers listing on marketplaces
Exporters and importers operating as a registered business entity
Partnership firms, LLPs, and private limited companies that fall within the investment/turnover limits
You don’t need a shop, office, or factory to qualify. A freelance consultant working from a spare room, or a seller running an Instagram-only store, is just as eligible as a manufacturing unit — the classification depends on investment and turnover, not on how the business looks from the outside.
Eligibility by Business Type
Sole Proprietorship
Registers under the owner’s Aadhaar and PAN. Simplest and fastest of the structures to file.
Partnership Firm
Registers using the managing partner’s Aadhaar, along with the firm’s PAN.
LLP
Registers under the authorised/designated partner’s Aadhaar, with the LLP’s PAN and incorporation details.
Private or Public Limited Company
Registers using the authorised signatory’s Aadhaar and the company’s PAN and incorporation number.
HUF and Others
Registers using the Karta’s or authorised person’s Aadhaar, along with the entity’s PAN.
Whatever the structure, the classification itself — Micro, Small, or Medium — is decided purely by investment in plant/machinery or equipment, and annual turnover, not by which legal structure you’ve chosen.
Documents You’ll Need
The list here is intentionally short — Udyam was designed to strip out the paperwork that older registration systems used to demand:
Aadhaar number of the proprietor, managing partner, or authorised signatory
PAN card of the business or applicant
Business address and bank account details
GST number, if your business already holds one (not mandatory for every category)
Basic details of plant, machinery, or equipment investment, where applicable
No audited financials, no notarised affidavits, no physical document uploads for most applicants — investment and turnover figures are pulled automatically where your GST or income tax filings are already linked.
Step-by-Step Udyam Registration Process
Seven steps on the official portal.
1
Start a new registration
Go to the official Udyam portal and start a new registration.
2
Enter the Aadhaar number
Enter the applicant’s 12-digit Aadhaar number, linked to an active mobile number.
3
Verify identity
Verify through the OTP sent to that mobile number.
4
Enter PAN details
The system validates these directly against Income Tax records.
5
Select the correct NIC code
Choose the National Industrial Classification code for your business activity. This single step decides whether you’re classified as a manufacturer or a service provider, and it’s where most self-filed applications go wrong.
6
Enter investment and turnover figures
Auto-filled where GST/ITR data is already linked, entered manually otherwise.
7
Submit the application
The Udyam Registration Number and a QR-coded certificate are generated immediately on successful submission.
The step people underestimate is picking the NIC code. The dropdown list is long and not always intuitive, and choosing a generic or slightly wrong code can misclassify the business in a way that affects scheme eligibility down the line — something that’s genuinely painful to fix after the fact.
MSME Classification Limits (Revised 2025)
The Ministry of MSME revised these thresholds through Notification S.O. 1364(E), effective 1 April 2025 — investment limits went up roughly 2.5x and turnover limits roughly 2x, specifically so growing businesses wouldn’t lose MSME status just for scaling up.
| Enterprise Type |
Investment Limit |
Turnover Limit |
| Micro | Up to ₹2.5 crore | Up to ₹10 crore |
| Small | Up to ₹25 crore | Up to ₹100 crore |
| Medium | Up to ₹125 crore | Up to ₹500 crore |
Classification is composite — both limits matter, and whichever one a business exceeds first determines its category. A business with Micro-level investment but Small-level turnover, for instance, gets classified as Small. Export turnover is excluded from the calculation entirely, which means exporters with high global sales can often still qualify for a lower, more favourable category.
MSME Registration Fees
There’s no government fee for Udyam registration — it’s free to file directly on the official portal, funded entirely by the Ministry of MSME as a self-certification system.
What Do You Pay a Filing Service For?
What you pay for, if you use a filing service like LegalDev, is the accuracy check before submission: correct NIC code selection, Aadhaar-PAN name matching, GST-Udyam linking, and help resolving the application if the portal flags it for correction. Self-filed applications get rejected or sent back for correction fairly often — usually over a name mismatch between Aadhaar and PAN, or a misclassified business activity — and fixing that after the fact typically costs more time than getting it right the first time would have.
Why Udyam Registration Actually Matters
Collateral-free loans
Registered enterprises become eligible under the CGTMSE scheme (Credit Guarantee Fund Trust for Micro and Small Enterprises), which allows banks to extend loans without requiring property as security — plus, in many cases, a modest interest rate concession over standard commercial lending.
Government tenders and GeM eligibility
A percentage of many government tenders is reserved specifically for MSMEs, and registering on the Government e-Marketplace (GeM) portal requires a valid Udyam number as a prerequisite.
Protection against delayed payments
Under Section 15 of the MSME Development Act, a buyer purchasing from a registered MSME must pay within 45 days or become liable for interest on the delay — a legal protection that unregistered businesses simply don’t have access to.
Subsidy and scheme access
Registered enterprises get priority access to technology-upgrade subsidies, patent and trademark fee reductions, and various central and state incentive schemes.
Smoother loan processing generally
Because Udyam links to GST and income tax data, banks tend to treat registered applicants as lower-risk for working-capital lending, since turnover figures are already verifiable rather than self-reported.
Tax-side benefits
Registered MSMEs can opt into presumptive taxation under Section 44AD for turnover up to ₹3 crore, and get relief from the disallowance of delayed-payment interest under Section 43B(h) of the Income-tax Act.
Your Udyam Registration Certificate
The certificate is issued instantly once the application is submitted correctly — no waiting period. It carries a unique 19-digit Udyam Registration Number (URN), your enterprise classification (Micro, Small, or Medium), your NIC activity code, and a QR code for online verification. It doesn’t expire, and your classification is reassessed automatically each year based on updated GST and ITR data — no manual renewal required.
How Do You Download It Later?
Go to the “Print/Verify Certificate” section on the Udyam portal, enter your URN, and verify with the mobile OTP linked to your Aadhaar.
Checking Application Status or Verifying a Certificate
If you’re checking your own application, or verifying a certificate someone else has sent you:
1
Open the verification tool
Go to the “Verify Udyam Registration” tool on the official Udyam portal.
2
Enter the URN
Type in the Udyam Registration Number.
3
Check the details
The portal displays the linked business name and registration details if the certificate is genuine.
This is a useful check before extending credit or entering a contract with a vendor who claims MSME status — a fake or mismatched certificate shows up immediately.
Updating or Cancelling Registration
Updating details
Log into the Udyam portal with your URN and the Aadhaar-linked mobile OTP, go to “Update Details,” and make the necessary changes. Most updates process within a couple of days, at no cost.
Cancelling registration
If a business closes or no longer wants to be listed, the “Surrender Registration” option on the portal handles it — a reason is required, but the process itself is free and doesn’t take long.
Mistakes That Commonly Delay or Reject Applications
- Name spelled differently on Aadhaar than on PAN — by far the most common rejection cause
- Registering in an individual’s personal name instead of the actual trading/business name
- Picking a generic or incorrect NIC code that misrepresents the business activity
- Turnover figures that don’t reconcile with GST or ITR records
- Skipping the “trading as” name where one exists, causing mismatches with marketplace listings or invoices later
A pattern worth knowing: a business name mismatch between Aadhaar and PAN is treated by the portal as a hard block, not a soft warning — it stops the application outright rather than flagging it for review.
Why Work With LegalDev

Frequently Asked Questions
It’s the official government process that classifies a business as a Micro, Small, or Medium Enterprise, giving it access to loans, subsidies, tender eligibility, and payment protection under the MSME Development Act.
