Employment Agreement Drafting Services in India

A company hires its first ten people on offer letters and goodwill, then discovers that nobody signed an IP clause, the notice period differs for every employee and one resignation has turned into an argument about unpaid dues. An employment agreement exists to settle those questions on the first day.

LegalDevIndia’s employment agreement drafting services help Indian employers put clear, lawful employment terms in writing, or have an existing agreement reviewed before it is used again. If you are hiring or updating your contracts, enquire about employment agreement drafting and tell us about the roles.

Key Takeaways

  • An employment agreement records the agreed terms between an employer and an employee: role, pay, hours, probation, confidentiality, IP, notice and exit.
  • Since the four Labour Codes came into force on 21 November 2025, employers must also issue a written appointment letter and follow new rules on wages, fixed-term staff and final settlement. A contract cannot override these statutory minimums.
  • Post-employment non-competes are very hard to enforce in India under Section 27 of the Indian Contract Act, 1872. Confidentiality, IP assignment and non-solicit terms do more of the protective work.
  • LegalDevIndia drafts, reviews and amends employment agreements for startups, small businesses and established companies.

What Is an Employment Agreement?

An employment agreement, also called an employment contract, is a written document recording the terms on which an employee is hired. It usually covers the job role, salary and benefits, working hours and location, probation, confidentiality, ownership of work product, notice and termination. The exact content depends on the role, what the parties have agreed and the law that applies to the establishment.

In practice, “employment agreement” and “employment contract” mean the same thing. What counts is what the document says and whether it was agreed.

Why Is an Employment Agreement Important?

Verbal assurances and email threads are weak evidence when a dispute comes. A signed agreement fixes what was promised on pay, role and notice, shows that confidentiality and IP terms were accepted before work began, and gives HR a consistent reference for every hire. It also helps the employee: they can see their duties, benefits and exit terms in one place.

Who Needs an Employment Agreement?

Any employer with staff benefits from one. Startups need it most when early hires write code, designs or content that the company must own. Small businesses need it to keep terms uniform without a full HR department. Larger companies use it for senior hires, fixed-term roles and special cases such as remote work.

What Does an Employment Agreement Cover?

The core topics are job responsibilities, salary, working hours, probation, confidentiality, intellectual property, notice and termination. Sections below cover each in turn. Not every clause suits every role, and an agreement for a sales executive will differ from one for a chief technology officer.

Our Employment Agreement Drafting Services

We work on employment documentation for employers. We do not provide litigation or HR advisory under this service unless that is separately agreed.

Customized Employment Agreement Drafting
We prepare the agreement around the role, the pay structure, the work arrangement and the terms the employer has decided. If you give us a few core facts, we build the rest around them in a form that is consistent across your team.
Existing Employment Agreement Review
We review current agreements for clarity, conflicts between clauses, gaps and terms that no longer fit after the Labour Codes, such as pay structures that ignore the new wage definition or a missing appointment-letter process.
Employment Agreement Amendment
Roles, pay and working arrangements change. We prepare amendment letters or restated agreements so the record matches what was actually agreed, and we flag changes that need the employee’s written consent.
Agreements for Startups and Businesses
Startups often hire quickly and document late. We prepare a standard set, such as a core agreement with role-specific schedules, so each new hire does not need a fresh negotiation of the basics.

What Should an Employment Agreement Include?

There is no single mandatory format. The clauses below are the ones that decide most disputes, and an employer should choose the ones that fit the role.

Employer and Employee Details
Name the employer exactly as registered, with its address and the employee’s identification details. Using the wrong legal entity, for example the brand name instead of the company, creates enforcement problems later.
Job Title, Duties, and Responsibilities
Record the designation, reporting line, place of work and main duties, with room for reasonable additions. Specific duties help if performance is questioned, and a general clause lets the role grow.
Salary, Compensation, and Benefits
Set out fixed pay, variable pay, bonuses, incentives and benefits, and say when and how they are paid. Under the Code on Wages, 2019, the definition of wages is wider than many older pay structures assumed: where allowances and other excluded components exceed half of total remuneration, the excess is counted as wages. That affects provident fund and gratuity calculations, so the salary breakup should be checked against it. Compensation terms also cannot override statutory entitlements.
Working Hours, Work Location, and Leave
State the working hours, the usual location, any remote or hybrid arrangement and the leave policy. Hours, overtime and leave are regulated by law, and in many states the Shops and Establishments Act of that state also applies. The agreement can offer more than the legal minimum but not less.
Probation Period and Confirmation
State the length of probation, how performance is assessed, how confirmation happens and what notice applies during probation. Probation terms should be consistent with the applicable state law and any standing orders. Say clearly whether silence at the end of probation means automatic confirmation or extension.
Notice Period and Termination
This clause lists the notice each side must give, payment in lieu of notice, grounds for immediate termination, handover duties and return of company property. Final dues after exit now carry a statutory clock: Section 17(2) of the Code on Wages, 2019 requires wages payable on resignation, removal, dismissal or retrenchment to be paid within two working days. Employers should therefore design offboarding around that deadline rather than a 30 to 45-day cycle.
Confidentiality and Protection of Business Information
Define what counts as confidential, including customer data, pricing, source code and business plans, and limit its use to the job. State that the duty continues after employment ends. Where employees handle personal data, align the clause with the Digital Personal Data Protection Act, 2023 and its rules.
Intellectual Property Rights
Under the Copyright Act, 1957, an employer is generally the first owner of a work an employee makes in the course of employment under a contract of service, unless there is an agreement to the contrary. Even so, a written clause is worth having because it covers inventions, work done outside office hours that relates to the business, moral-rights waivers and further assurances, and because patent rights need to be transferred in writing. Contractors and consultants are different, since the law does not treat them as employees by default.
Company Policies and Code of Conduct
The agreement can bind the employee to the employee handbook, IT and data policies, anti-harassment policy and code of conduct, and state that policies may be updated with notice. Keep the handbook current, because an out-of-date policy can weaken a disciplinary action.
Non-Solicitation and Restrictive Covenants
Non-solicitation clauses prevent a departing employee from taking clients or colleagues. They are more likely to be upheld when they are narrow, tied to a legitimate interest and limited in time. Post-employment non-compete clauses are treated very differently, as the legal section below explains. Careful drafting means using the tools that courts accept.
Dispute Resolution and Governing Law
Provide for Indian law and a forum, and consider internal escalation, mediation or arbitration. Statutory rights, such as complaints to the labour authorities, cannot be removed by an arbitration clause.

Types of Employment Agreements

The agreement should match how the person is actually employed. A mismatch between the label and the reality is a common source of trouble.

Full-Time Employment Agreement
Covers an open-ended role with fixed hours, salary, benefits, probation, confirmation and notice. It is the most common type.
Fixed-Term Employment Agreement
Used for a defined period or project. The Labour Codes expressly recognise fixed-term employment and say fixed-term employees should receive wages and benefits on par with permanent staff in similar roles, with gratuity after one year of service on a pro-rata basis. The agreement should state the term, renewal conditions and what happens at expiry.
Part-Time Employment Agreement
Records the reduced hours, pay basis, responsibilities and how statutory benefits apply. A part-time label does not remove statutory entitlements.
Senior Executive Employment Agreement
Senior contracts add detail on authority, bonuses, equity or ESOP participation, longer notice, stronger confidentiality and IP terms and garden-leave arrangements. They are usually negotiated rather than issued on a standard form.
Remote or Hybrid Employment Agreement
Addresses place of work, equipment, working-hour expectations, information security, data handling and expense policy. Remote work does not change the employer’s compliance obligations in the state where the employee is based.
Consultant and independent-contractor arrangements are not employment agreements. A contractor controls how the work is done, may serve other clients and invoices for services. If the real relationship looks like employment, calling it a consultancy does not change the legal position. For genuine contractors, see our consultancy agreement drafting page.

Employment Agreement vs Offer Letter vs Appointment Letter

The three documents have different jobs, and their legal effect depends on what each says and what the parties intended. A document called an offer letter can create binding terms if it is accepted, and an employment agreement can serve as the appointment letter if it contains the required details.

Document Main Purpose Typical Content
Offer letterProposes employment before the employee joinsRole, pay, joining date, conditions such as background checks
Appointment letterFormally appoints the employeeDesignation, pay, joining date, core service conditions
Employment agreementRecords the complete contractAll of the above plus confidentiality, IP, restrictive covenants, termination and dispute terms

What Is the Difference Between an Employment Agreement and an Offer Letter?

An offer letter communicates the proposed terms and invites acceptance, so it is usually shorter and issued earlier. An employment agreement sets out the whole set of terms, including protective clauses that an offer letter rarely covers. Ideally the offer letter points to the agreement and says the agreement prevails.

What Is the Difference Between an Employment Agreement and an Appointment Letter?

An appointment letter is a formal record of the appointment and its main conditions. Under the Labour Codes, employers are required to give each employee a written appointment letter, and the Occupational Safety, Health and Working Conditions Code, 2020 is the source usually cited for this. A separate employment agreement can add obligations the letter does not cover, or the agreement itself can be drafted to include the content required for the letter. Check the format and content requirements in the central and state rules.

Does Every Employee Need a Separate Employment Agreement?

Not necessarily. A written appointment letter is now expected for every employee, but whether a full agreement is required depends on your documentation, the role and your risk. Employers who need IP assignment, confidentiality and restrictive covenants from a particular employee usually find a full agreement the safer route.

Our Employment Agreement Drafting Process

This describes how we usually work.

1

Understand the Employer’s Requirements

We collect the basics: the employer’s details, the role, the pay structure, the location and any special terms already communicated to the candidate.

2

Identify the Required Clauses

We decide which provisions the role needs, such as probation, IP assignment, non-solicit or fixed-term conditions, and note where state or labour-code rules affect them.

3

Prepare the Draft Agreement

We prepare the draft in plain language around the agreed terms, with schedules for role-specific details so the main text stays consistent across hires.

4

Review and Incorporate Feedback

You read the draft and send comments. We revise within the agreed scope.

5

Finalize the Employment Agreement

We deliver the final document with guidance on signing, stamping where applicable and keeping the signed copy with the employee’s records.

Documents and Information Required for an Employment Agreement

What we need depends on the role and the scope of the engagement. Commonly:

The employer’s legal name, address and registration details
The employee’s name and identification details
Job title, duties and reporting line
Salary breakup and benefits
Working hours and place of work
Probation, confirmation and notice terms
The employee handbook or relevant policies
Confidentiality and IP requirements
Leave policy and benefits
An existing offer letter, appointment letter or agreement, if any
Any other agreed terms
Not every item applies to every engagement. If something is missing, we can start with what you have.

Frequently Asked Questions About Employment Agreements

It is a written contract between an employer and employee recording the terms of the job: duties, pay, hours, probation, confidentiality, IP, notice and termination.
No single law says every employee must sign a full agreement. However, the Labour Codes now require a written appointment letter for employees, and other statutes impose specific obligations. Whether you also need an agreement depends on your role, risk and documentation.
In everyday use, yes. Both terms describe the written terms of employment. The substance of the document matters more than its title.
An offer letter proposes the job and key terms before joining. An employment agreement is the fuller contract, including confidentiality, IP, restrictive covenants and exit terms.
Parties, role and duties, salary and benefits, hours and leave, probation, confidentiality, IP, policies, notice and termination, non-solicitation and dispute resolution. The right set depends on the role.
Yes, usually by mutual written consent. Some changes, such as reducing pay or benefits, may be restricted by law or need a statutory process. Follow the agreement’s amendment clause and keep a signed record.
Generally not. Section 27 of the Indian Contract Act voids agreements in restraint of trade, and the Supreme Court has held post-employment restraints void. Restrictions during employment, confidentiality and reasonable non-solicit terms are more dependable.
The employer’s details, the employee’s details, role and duties, pay breakup, hours, probation and notice terms, policies, and any existing offer or appointment letter.
Yes. Reasonable confidentiality and IP assignment clauses are common and useful, subject to applicable law and the nature of the work.
It depends on the state’s stamp law. Many employers stamp agreements so that they are admissible as evidence, but check the rule for your state.
In general, yes. The Information Technology Act, 2000 recognises electronic signatures, and employment agreements are not among the excluded document types. Confirm the signing method and stamping position for your state.
