Sale Deed Drafting Services in India
By LegalDevIndia Editorial Team
A sale deed is the registered document that transfers ownership of immovable property from the seller to the buyer for a price. LegalDevIndia helps buyers and sellers prepare a sale deed that matches the actual deal and the property papers, so that it is ready for stamping and registration.
Paying the price or signing an agreement does not by itself pass ownership of a flat, house or plot. The deed does that, and any error in it travels with the property for years.
Key Takeaways
Under Section 54 of the Transfer of Property Act, 1882, ownership of property worth Rs 100 or more passes only through a registered instrument.
An agreement to sell is a promise of a future sale. It does not create an interest in the property by itself.
A well-drafted deed cannot fix a weak title. Check the seller's papers before the deed is drafted.
Stamp duty and registration fees are set state by state. No single national rate exists.
Drafting, title verification and registration are different services. Confirm which ones you are getting.
When Do You Need a Sale Deed?
You need a sale deed whenever ownership of immovable property is being sold and transferred, whether it is a resale flat, a plot, a shop or a first sale by a builder. What goes into the deed changes with the property type.
Buying or Selling a House or Flat
A resale deed identifies both parties, the unit and building, the price and payment record, the possession date and the seller's title papers. For flats, it should also cover the undivided share in land and the right to use common areas.
Sale of a Plot or Land
Here the property description does the heavy lifting: survey or plot number, area, boundaries on all four sides, and the land's classification. Check the classification (agricultural, residential or otherwise) against local records, because some states restrict who may buy certain land.
Sale of Commercial Property
For shops and offices, add the permitted use, building approvals, and any existing tenancy. A buyer taking property subject to a tenant should see that in the deed.
Property Purchased from a Builder or Developer
A first sale from a developer usually begins with an allotment letter and an agreement for sale, which RERA-registered projects must follow in the format the state prescribes. The final conveyance then ties back to those documents and to the project's approvals. A resale does not follow this path, so do not assume the two use the same paperwork.
What Is a Sale Deed Under Indian Law?
Section 54 of the Transfer of Property Act, 1882 defines a sale as the transfer of ownership in exchange for a price paid, promised, or part-paid and part-promised. For tangible immovable property worth Rs 100 or more, the section requires a registered instrument. The sale deed is that instrument.
The parties
The seller (transferor) gives up ownership. The buyer (transferee) acquires it. Both must have the legal capacity to act, and anyone signing for a company, a minor or another person needs proper authority.
What the deed records
It records the parties, the property, the price and payments, the seller's declarations on title and encumbrances, the possession terms, and the seller's promise to indemnify the buyer for defects in title the seller failed to disclose.
Why registration matters
Section 17(1)(b) of the Registration Act, 1908 makes registration compulsory for non-testamentary documents that create or transfer rights in immovable property worth Rs 100 or more. Section 49 then limits the use of an unregistered document as evidence of the transaction. The Supreme Court held in Suraj Lamp & Industries v. State of Haryana (2011) that sale agreements with general powers of attorney and wills cannot substitute for a registered conveyance. Official text is available on India Code.

Does an Agreement to Sell Transfer Ownership?
No. Section 54 says a contract for sale does not, of itself, create any interest in or charge on the property. Two qualifications apply. A buyer in possession under an agreement may have protection under Section 53A (part performance), and some states have amended their stamp or registration rules to treat certain agreements with possession differently. Those are protections in a dispute, not a replacement for the deed.
When Is the Sale Deed Executed?
At the conveyance stage, once the agreed conditions are met, which usually means the balance payment and clearance of any loan or mortgage. Timelines vary with the deal and are fixed in the agreement, not by law.
What Information Must Be Correct in a Sale Deed?
Most deed problems are plain factual mismatches between the deed and the underlying records. These are the items to get right.
| Item |
What to Get Right |
| Names and legal details |
Spell names as they appear on the title deed and identity documents, and record the capacity in which each person signs. A mismatch between the title papers and the deed invites questions at registration and at resale. |
| Exact identification of the property |
Address, survey or plot number, area, boundaries, flat number, floor, and the schedule of property should match the title deed and local records. |
| Sale consideration and payments |
Record the real price, the amount already paid, how, and the balance. Understating the price on paper to save duty is a legal risk for both parties and a tax risk for the seller and buyer, so it should not be done. Also check the buyer's tax-deduction duty on property purchases above the statutory threshold (Section 194-IA under the Income-tax Act, 1961; confirm the provision number under the Income-tax Act, 2025, which has replaced it). |
| Title declarations |
The seller should state how they acquired the property, that they have the right to sell it, and that it is free from undisclosed claims. These statements must match the documents, since a false declaration is the seller's problem and the buyer's, too. |
| Possession |
Say whether possession is delivered on registration or on a later date, and what condition the property is in. |
| Mortgages and other rights |
If a bank holds the original title deed, say so, and provide for loan closure and release of documents. Tenancies, occupants and any known claims also belong here. |
| Indemnity |
An indemnity clause allocates responsibility if a defect surfaces. It is a backstop. It does not replace checking the title, because a seller who has no money or cannot be found cannot pay on the indemnity. |
Documents to Check Before Preparing a Sale Deed
Do this before drafting, not after. Section 55 of the Transfer of Property Act expects the seller to disclose material defects in title and to produce title documents for inspection, but the buyer's own checks come first.
Title deed and chain of title
Read the seller's title deed and the earlier transfers that lead to it. A gap in the chain is a warning sign.
Encumbrance records
An encumbrance certificate or sub-registrar search shows registered transactions for a period. It will not show unregistered agreements, family claims or every pending court case, so it is one check among several.
Tax and local authority records
Property tax receipts and municipal records show who pays tax. They are supporting evidence, not proof of ownership.
Approvals and property-specific papers
Depending on the property, these may include building approvals, completion or occupancy certificates, allotment papers, society records, and land-use documents. Not every sale needs every document.
For a plot or high-value property, a title opinion from an advocate is a separate and fuller exercise than drafting. Confirm whether that is within our scope before assuming it.
How Sale Deed Drafting Works
Six steps from first call to registered deed:
1
Understand the Transaction
We collect the party details, property particulars, agreed price and any available agreement.
2
Review the Available Documents
We read the papers you share to prepare the deed accurately. This is a drafting review. It is not a title search or legal title opinion unless that is separately agreed.
3
Prepare the Draft
We build the deed from the transaction details, property schedule, payment terms and clauses suited to the deal.
4
Review with the Parties
Buyer and seller check names, areas, amounts and dates before anyone signs.
5
Stamping and Registration Formalities
We explain the stamp duty, fees and execution steps for your state.
6
After Registration
The buyer should apply for mutation of revenue or municipal records. Mutation is an administrative update for tax and record purposes. It does not create title.
Sale Deed Registration and Stamp Duty in India
Registration, stamping and execution rules sit partly in central law and largely in state law, so check your state's current position before relying on any figure.
Section 54, Transfer of Property Act, 1882
It defines sale, requires a registered instrument for property worth Rs 100 or more, and separates a sale from a contract for sale.
Section 17, Registration Act, 1908
It makes registration compulsory for instruments that create, declare, assign, limit or extinguish rights in immovable property above the stated value, subject to its exceptions. Section 23 generally requires presenting the document within four months of execution.
State stamp duty and registration fees
The Indian Stamp Act, 1899, as amended by each state, governs duty on conveyances. Rates, concessions (for example, for women buyers in some states), valuation methods and fee schedules differ by state, property type and value. Many states now offer e-stamping. As a default under Section 29 of the Indian Stamp Act, the purchaser bears the cost of stamping a conveyance, but parties can agree otherwise. Professional fees are separate from duty and registration charges.
Execution and presentation
Both parties, usually with witnesses and identity proof, appear before the Sub-Registrar, and biometric or photo capture is standard. Some states permit online slot booking or partial e-registration. Check with your sub-registrar office.
After registration
Keep the registered original, stamp and fee receipts safely. Registration completes the transfer formalities. It does not cure a defect in the seller's title.
Common Sale Deed Errors to Avoid
These are the mistakes that most often cause rejections and disputes:
Wrong boundaries or survey number
A copied or outdated description can send the deed to the wrong land. Match it to current records.
Mismatched names or details
Initials, spellings or father's and spouse's names that differ across documents lead to rejections and later disputes.
Incomplete payment details
If part of the price was paid earlier or by loan, record how and when.
Missed encumbrances
An unreleased mortgage or a pending claim is cheaper to resolve before completion.
Treating the agreement as the transfer
Possession and full payment under an agreement to sell leave the title with the seller.
Assuming registration replaces due diligence
A registered deed shows a transfer happened. It does not prove the seller owned what they sold.

Frequently Asked Questions About Sale Deeds
Got questions? Find clear answers from our team:
It is the document that records and effects the transfer of ownership of immovable property from seller to buyer for a price, once duly executed and registered.
For property worth Rs 100 or more, yes. Section 54 of the Transfer of Property Act requires a registered instrument, and Section 17 of the Registration Act makes such documents compulsorily registrable.
A sale deed transfers ownership. An agreement to sell is a contract that a sale will take place later and does not itself create an interest in the property.
Party details, the seller's title deed and earlier title papers, a property schedule, price and payment details, encumbrance records, and any approvals, depending on the property and state.
By default under the Indian Stamp Act, the purchaser bears stamp duty on a conveyance, but the parties can agree differently. Amounts depend on your state.
The registrar checks formalities, not the full history of the seller's title. That is why due diligence is separate and should come before registration.
It is the sequence of ownership transfers, supported by documents, that connects the current seller back to an earlier owner. Gaps in that chain are what buyers look for.
No. Mutation updates revenue or municipal records, generally for tax purposes. Courts have repeatedly said it does not by itself create or prove title.
Yes, on grounds such as fraud, forgery or the seller's lack of title, depending on the facts. A court can cancel an instrument under Section 31 of the Specific Relief Act, 1963. Registration does not make a deed immune.
It depends on the error. Some mistakes can be fixed by a rectification deed signed by the parties and registered. Others need a court order, for example under Section 26 of the Specific Relief Act. Get advice on the specific error.
Drafting can be done remotely if we offer it for your case. Stamping, signing and registration must still follow your state's rules, and appearance before the sub-registrar is generally required.
