LLP Compliance in India: What Your LLP Owes the MCA, the Taxman, and Its Own Records
LLP compliance in India comes down to three layers: yearly filings with the Ministry of Corporate Affairs (Form 11 by 30 May and Form 8 by 30 October), income tax filings for the LLP itself, and event-based filings whenever partners or the agreement change. An LLP with no income still carries all three layers. The cost of ignoring them is a late fee that rises in steps, plus personal exposure for designated partners.
Key Takeaways
Two annual MCA forms apply to every LLP: Form 11 (partners and contribution) and Form 8 (accounts and solvency). Nil-activity LLPs file them too.
Event-based forms run on a 30-day clock: Form 3 for agreement changes, Form 4 for partner changes.
An LLP can face two separate audits, one under the LLP Act and one under the Income Tax Act, with different triggers.
The old flat ₹100-per-day late fee no longer applies to MCA filings. Since 1 April 2022 the fee is a multiple of the normal fee.
There is no relief scheme for LLPs at the time of writing. The 2026 compliance scheme the MCA announced was limited to companies.
The LLP Compliance Map
Most owners hold the dates in their head as "May and October." The real list is longer. This table covers the obligations of an LLP on the standard April-to-March year, with the page that explains each one in full:

Where Your LLP Stands Today
It is mid-October, and three dates are close. Form 8 falls due on 30 October. If your LLP's accounts need a tax audit, the income tax return is due on 31 October, and so is the July–September TDS return where it applies. Start with whichever has no finished accounts behind it, because all three lean on the same ledgers.
Form 11 for FY 2025-26 still unfiled? It is now about 140 days late (as of 17 October 2026). The fee for a delay of 91 to 180 days is ten times the normal fee for a small LLP and twenty times for everyone else, and it steps up again after the 180th day, around the last week of November. Filing before then keeps you in the current tier instead of the next, higher one.
Check the MCA site for any extension circular before you plan around a date.
Annual MCA Filings in Plain Terms
Form 11 and Form 8 answer two different questions. Form 11 tells the Registrar who owns the LLP and how much capital has been committed and received. Form 8 tells the Registrar how the LLP is doing and whether it can pay its debts. Neither replaces the other, and each has its own due date, signatories, and fee.
The government fee for these forms ranges from ₹50 to ₹600, set by the LLP's total contribution. The full slab table sits on each form's page. The deadlines work out as follows:
Form 11
Within 60 days of the financial year end, which is 30 May.
Form 8
Within 30 days after the first six months of the following year, which is 30 October.
Both forms are filed online on the MCA V3 portal with digital signatures. The designated partner's certificate must be valid and registered on the portal before the day you need it.
Event-Based Compliance: The 30-Day Clock
Annual filings are predictable. Event-based ones arrive without warning and are the ones most often missed.
| Event |
What to File |
| Agreement signed or amended |
Form 3 within 30 days |
| Partner joins, retires, or a designated partner changes |
Form 4 within 30 days, and Form 3 as well if the signed agreement changes |
| Registered office, name, or structure changes |
Each has its own form and time limit. Check before you act, not after |
A habit that saves us trouble: every time partners sign something, ask "does this change the agreement or the partner list?" If yes, put a 30-day reminder on the calendar the same day.
Two Audits, Two Sets of Thresholds
LLP owners often hear "audit applies" and assume it means one thing. It can mean two.
| Audit |
Law |
Trigger |
| Audit of accounts |
LLP Act, 2008 |
Turnover above ₹40 lakh, or partners' contribution above ₹25 lakh |
| Tax audit |
Income Tax Act, Section 44AB |
Business turnover above ₹1 crore (₹10 crore if cash receipts and payments stay within 5%), or professional receipts above ₹50 lakh |
An LLP can need the first and not the second, or both, or neither. The LLP Act audit report goes with Form 8. The tax audit report is filed on the income tax portal, with a due date one month ahead of the return. LLPs cannot use the presumptive schemes under Sections 44AD and 44ADA, so there is no shortcut that avoids bookkeeping.
Income Tax Compliance for an LLP
The LLP is a taxpayer in its own right. It files ITR-5, pays tax at 30% plus a 12% surcharge when income crosses ₹1 crore and 4% cess, and pays tax in advance through the year if the liability reaches ₹10,000. Advance tax instalments fall on 15 June, 15 September, 15 December, and 15 March, at 15%, 45%, 75%, and 100% of the estimated tax.
| Advance Tax Date | Cumulative Share of Estimated Tax |
| 15 June | 15% |
| 15 September | 45% |
| 15 December | 75% |
| 15 March | 100% |
The late fee on an income tax return under Section 234F is up to ₹5,000, and interest runs on any unpaid tax. If the LLP deducts TDS on payments to partners, contractors, or landlords, quarterly TDS returns are also due. Verify the due dates on the Income Tax Department website, because they are notified year by year and extensions have occurred.
Partners, Signatures, and Housekeeping
Compliance fails more often at the desk than at the portal. A few items to keep in order:
Minimum structure
An LLP needs at least two partners and two designated partners, one of them resident in India. If the partner count drops below two for more than six months, the remaining partner can become personally liable under Section 6.
Digital signatures
Keep class 3 DSCs for designated partners valid. Renewals take days, not hours.
DPIN KYC
Designated partners must keep their DIN or DPIN KYC current, and a deactivated number stops that person from signing MCA forms. A 2026 notification changed the KYC cycle to once every three years, so confirm the current rule and your due date on the MCA site.
Books
Keep proper books of account on a cash or accrual basis, and preserve them for eight years under Section 34.
What Late Filing Costs
For Form 8 and Form 11, the additional fee is a multiple of the normal fee, with small LLPs, meaning contribution up to ₹25 lakh and turnover up to ₹40 lakh, on a lower scale. The ladder, reading small LLP against others:
| Delay |
Small LLP |
Other LLP |
| Up to 15 days | 1× | 1× |
| Up to 30 days | 2× | 4× |
| Up to 60 days | 4× | 8× |
| Up to 90 days | 6× | 12× |
| Up to 180 days | 10× | 20× |
| Up to 360 days | 15× | 30× |
| Beyond 360 days | 15× plus ₹10 per day | 30× plus ₹20 per day |
Worked case: An LLP with ₹12 lakh contribution has a normal fee of ₹200. Filing Form 8 75 days late adds 12 × ₹200 = ₹2,400 if it is not a small LLP.
A caution about sources. Many pages still state ₹100 per day with no ceiling, and some government-adjacent summaries repeat it. That was the rule through 31 March 2022. Budget from the multiplier ladder, and let the portal compute the exact figure at payment.
Fees are the smaller part of the risk. The LLP Act provides for penalties on the LLP and on designated partners for default, and sustained non-filing can lead the Registrar to begin striking-off proceedings under Section 75. You can read the Act on
India Code and the filing guidance on the LLP portal.
As for relief: the Companies Compliance Facilitation Scheme announced in 2026 covered companies and excluded LLPs, and we found no LLP-specific scheme. Do not delay a filing in the hope one will appear.
Records to Keep Ready
Keep these in one folder so every filing starts from the same set of documents:
LLP agreement, all amendments, and stamp duty proof
LLPIN, registered office proof, and current partner list with DPINs
Contribution records: committed and received, partner by partner
Books of account, ledgers, bank statements, and the year-end trial balance
Auditor's report and tax audit report, where applicable
Valid DSCs for every designated partner
TDS and GST records, if the LLP is registered for either
Acknowledgements and SRNs of everything filed
A Year of LLP Compliance, Month by Month
For an LLP on the standard April-to-March year:
| Month |
What Falls Due |
| April | Close the books; check DSC validity |
| May | Form 11 (30 May); fourth-quarter TDS return (31 May) |
| June | First advance tax instalment (15 June) |
| July | Non-audit income tax return (31 July, unless notified otherwise); first-quarter TDS return |
| September | Tax audit report (30 September); advance tax (15 September) |
| October | Form 8 (30 October); audit-case income tax return and TDS return (31 October) |
| December | Advance tax (15 December) |
| January | Third-quarter TDS return (31 January) |
| March | Final advance tax (15 March); year-end close |
Event-based forms (Form 3 and Form 4) sit outside this table and run on the 30-day clock from the event.
