Non-Disclosure Agreement in India: Validity, Clauses and How to Draft One
A Non-Disclosure Agreement (NDA) is an ordinary contract under the Indian Contract Act, 1872, and Indian courts will enforce it if it has lawful consideration, a defined purpose, and terms that stop short of restraining someone's trade.
India has no standalone trade secrets statute, so your NDA is usually the main legal tool you have to protect confidential business information. That makes the drafting matter more than the template you started from.
Governing Law
Contract Act, 1872
Types
Mutual & Unilateral
Key Takeaways
An NDA is enforceable as a contract. It needs the same ingredients as any other agreement: parties with capacity, free consent, lawful consideration, and a lawful object.
Section 27 of the Contract Act voids agreements that restrain a lawful trade or profession. A confidentiality clause is generally safe, but a disguised non-compete is not.
Choose a mutual NDA when both sides share secrets, and a unilateral NDA when only one does.
Define confidential information precisely, state the purpose, set a duration, and name a jurisdiction.
Stamping rules differ by state. An unstamped or under-stamped agreement can create evidence problems later.
Is a Non-Disclosure Agreement Legally Valid in India?
Yes. The legal validity of an NDA under the Indian Contract Act comes from the Act's general rules for contracts, not from a special NDA provision. The Act has no section titled "NDA". Courts treat the document as a contract that happens to be about secrecy.
For it to hold, you need:
Competent parties
Adults of sound mind, or properly authorised companies and firms.
Free consent
No coercion, fraud, or misrepresentation.
Lawful consideration
Something of value passes. In a mutual NDA, each side's promise to protect the other's information is consideration. For employees, continued employment and access to sensitive material usually serve.
A lawful object
The agreement cannot require anything illegal or against public policy.
The statute is available on
India Code.
Where Section 27 Draws the Line
Section 27 declares void any agreement that restrains a person from a lawful profession, trade, or business. People worry this makes every NDA suspect. The case law says otherwise.
| Case |
What the Court Held |
| Niranjan Shankar Golikari v. Century Spinning (Supreme Court, 1967) |
Restrictions that operate during employment were held to fall outside Section 27, while restraints after employment are examined much more strictly. |
| VFS Global Services v. Suprit Roy (Bombay High Court, 2008) |
A clause stopping an employee from disclosing commercial or trade secrets is not a restraint of trade. Protecting a secret is different from stopping someone from earning a living. |
The practical rule for drafters: restrict use and disclosure of specific information, not the person's ability to work in their field. A clause that bars a former employee from working in the industry for years, dressed up as confidentiality, risks being struck down.
What an NDA Can and Cannot Protect
India has no dedicated trade secrets law. Protection comes from contract, equitable principles of breach of confidence, and some provisions of other statutes. A draft Protection of Trade Secrets Bill proposed in 2024 had not been enacted at the time of the sources I checked.
Courts have applied breach-of-confidence principles in cases such as Zee Telefilms v. Sundial Communications (Bombay High Court, 2003), where an original television concept shared in confidence could not be used by the recipient, and the court restrained further use. The duty can also bind a third party who later receives the information knowing it was given in confidence.
This Means Three Things for You
Public information
Information that is already public cannot be protected, whatever the NDA says.
Vague claims
Vague claims of "all business information" are hard to enforce. Specific categories are easier.
No contract
Without a contract, you are depending on case law and proof of confidence, which is slower and less certain.
Mutual vs Unilateral NDA in India
Pick the type that matches who is actually sharing information:
| Feature |
Unilateral (One-Way) |
Mutual (Two-Way) |
| Who discloses |
One party |
Both parties |
| Who is bound |
The recipient only |
Both, each as discloser and recipient |
| Typical use |
Investor pitch, vendor given access to your data, employee onboarding |
Joint ventures, partnership talks, co-development |
| Drafting risk |
Over-broad terms may be challenged |
Obligations must be balanced or one side will resist |
A founder pitching an idea to an investor usually wants a unilateral NDA protecting the pitch. Two companies exploring a merger need a mutual one.
Using the wrong type can leave your own information outside the agreement. If both parties will share data, a one-way template quietly protects only one of them.
Key Clauses in a Non-Disclosure Agreement
A good NDA is specific. These are the clauses that carry the weight.
1
Parties and Effective Date
Use full legal names and registered addresses. Mismatches create enforcement headaches.
2
Purpose
State why information is being shared. A recipient who uses it for a different purpose is in breach. This clause is one of the strongest tools you have.
3
Definition of Confidential Information
List categories (pricing models, source code, client lists, formulas, business plans) and include marked and oral disclosures if you want them covered. Add a method, such as marking documents "Confidential" or confirming oral disclosures in writing.
4
Obligations of the Recipient
Keep the information secret, use it only for the stated purpose, limit access to people who need it, and apply at least reasonable security.
5
Exclusions
Standard carve-outs: information already public, already known to the recipient, independently developed, or lawfully received from a third party. Also carve out disclosure compelled by law or a court, with a duty to notify the discloser where possible.
6
Duration
Set a term for the agreement and a separate period for the confidentiality obligation, which often outlasts the relationship. For genuine trade secrets, many drafters allow the duty to continue as long as the information stays secret.
7
Return or Destruction
Require the recipient to return or delete material on request, and to confirm in writing.
8
Remedies
Name injunctive relief and damages. Courts grant damages under Section 73 of the Contract Act for loss actually caused. Under Section 74, a pre-fixed sum payable on breach is enforceable only as reasonable compensation, not as a penalty, so a huge liquidated-damages figure may not hold.
9
Jurisdiction and Governing Law
Choose Indian law and a specific city's courts, or an arbitration seat and rules under the Arbitration and Conciliation Act, 1996. Be explicit.
10
Non-Solicitation and Non-Compete
Handle these in separate, carefully limited clauses, or leave them out. Mixing them into confidentiality invites a Section 27 challenge.
How to Draft an Employment NDA
An employment NDA protects the employer's information without trying to control the employee's career. Three points matter.
Tie it to the job
Describe what the employee will access: client data, pricing, code, designs. Specificity makes it enforceable and shows the information was genuinely confidential.
Separate confidentiality from restraint
During employment, restrictions are on firmer ground. After employment, protect trade secrets and confidential data, but avoid broad bans on joining a competitor.
Include practical mechanics
A return-of-materials clause, a devices and cloud-storage policy, and an acknowledgement that the employee understood the terms.
Execute the NDA at or before joining, not months later. An agreement signed after the employee already holds sensitive access is easier to contest on consideration.
If your business handles personal data, align the NDA with your obligations under the Digital Personal Data Protection Act, 2023.
Stamp Duty and Execution
Stamp duty on agreements is governed by the Indian Stamp Act, 1899 as adopted and amended by each state, so the amount varies by state and by the nature of the document. An unstamped or insufficiently stamped agreement can face admissibility problems in court until the duty and a penalty are paid. Check your state's schedule or ask a lawyer before signing.
Sign on the correct stamp paper or e-stamp, have every party sign each page or the signature page, and keep a dated, complete copy. Electronic execution is possible, but stamping rules still apply.
What to Do If Someone Breaches Your NDA
Move in this order:
1
Collect Evidence
Preserve emails, files, access logs, and the signed agreement.
2
Send a Legal Notice
Demand that the recipient stop use and disclosure, and return material.
3
Seek Interim Relief
An injunction is often the remedy that matters, because damages cannot restore a secret once published. Injunctions are governed by the Specific Relief Act, 1963 and civil procedure rules.
4
Claim Damages
Under Section 73, for loss you can prove.
5
Use Arbitration
If your agreement says so.
Delay hurts. Courts are more willing to restrain misuse when you act promptly.
Common NDA Mistakes
These are the errors that most often weaken an NDA:
Wrong template type
Using a mutual template when only one side discloses, or the reverse.
Everything is confidential
Defining "confidential information" as everything.
No stated purpose
The recipient's use of the information is left undefined.
Missing carve-outs
Which can make a clause unreasonable.
Hidden non-compete
Burying a non-compete inside the confidentiality clause.
Mismatched party names
Wrong or mismatched party names.
Skipping stamping
Which creates admissibility problems later.
No exit mechanics
No process for returning or destroying material.

It is a contract in which one or both parties promise to keep specified information confidential and use it only for an agreed purpose.
Yes, if it meets the basic contract requirements under the Indian Contract Act, 1872.
No. Section 27 targets restraints on trade. Courts have held that protecting trade secrets and confidential information is generally not a restraint of trade, but broad post-employment bans are risky.
Not a standalone one at the time of the sources I checked. Protection relies on contract and equitable principles.
A unilateral NDA binds only the recipient. A mutual NDA binds both parties, because both share information.
Set a term for the agreement and a separate period for confidentiality. Genuine trade secrets can be protected for as long as they remain secret.
Yes. Keep it tied to genuinely confidential information and avoid disguised non-competes.
Stamp duty depends on the state. Check the state schedule, because stamping affects admissibility.
Technically contracts can be oral, but proving terms is difficult. A signed written NDA is far safer.
Injunctions and damages. A pre-agreed sum is enforceable only as reasonable compensation under Section 74.
The one your agreement names, subject to the usual rules. Arbitration is another option if provided for.
You can start with one, but adapt the purpose, definitions, and carve-outs to your situation. A generic template often fails on specificity.
