Service Overview of (LLP) Registration

To register an LLP in India, you need at least two partners, a digital signature for each designated partner, and one online application, the FiLLiP form, filed with the Ministry of Corporate Affairs. No minimum capital is required. After the Registrar of Companies approves the filing, you receive a Certificate of Incorporation and an LLPIN. The LLP agreement must then reach the MCA within 30 days.

Key Takeaways

Two partners is the floor. Two of them must be designated partners, and at least one designated partner must be resident in India.
The whole incorporation is online. FiLLiP also applies for the LLP's PAN and TAN.
File the LLP agreement (Form 3) within 30 days of incorporation. The late fee is ₹100 a day, with no ceiling.
Every LLP files Form 11 and Form 8 each year, even if it did no business.
MCA fees depend on the partners' total contribution. Stamp duty depends on the state.

Is an LLP the Right Structure for You?

An LLP is a separate legal person created under the Limited Liability Partnership Act, 2008. It holds property, signs contracts and appears in court under its own name. Its partners manage it directly, like a traditional partnership, but they are shielded from the LLP's debts beyond what they agreed to contribute.

Benefits of a limited liability partnership

The structure appeals to a specific kind of business, and the reasons are practical:

Personal assets are protected. If the LLP defaults on a loan, creditors go after the LLP's assets and the partners' contributions. A partner stays personally liable only for their own fraud or wrongful conduct.

No capital threshold. The partners fix the contribution themselves. A small contribution is legal.

The paperwork is lighter than a company's. There are no board meetings, no share register and no annual general meeting.

The partners write their own rules. Profit split, authority, exit terms and dispute handling all sit in the LLP agreement.

It outlives its partners. A partner can retire, resign or die without ending the LLP.

Foreign partners are allowed. The government permits 100% FDI through the automatic route in LLPs, but only in sectors where 100% automatic FDI is open and no performance-linked conditions apply. Check your sector first.

Where an LLP falls short

An LLP cannot issue shares. If you plan to take venture capital or grant employee stock options, investors will almost certainly ask for a company. In that case, read our page on Private Limited Company Registration before you commit to an LLP. Converting later is possible, but it costs time and tax planning.

LLPs work best for consultancies, professional practices, agencies, trading firms and family businesses, where a few owners work in the business and want liability protection without company-style formalities.

Eligibility: Who Can Set Up an LLP

The rules for partners, capital, office and name:

Requirement What the rule says
Number of partners At least 2; no upper limit
Designated partners At least 2, and they must be individuals
Residency At least 1 designated partner must have been in India for 120 days or more in the financial year
Eligible partners Individuals and body corporates, including foreign nationals and NRIs, subject to FDI limits
Capital No minimum
Registered office An address in India, with proof you can use it
Name Must not match or closely resemble an existing LLP, company or registered trademark, and must carry "LLP" or "Limited Liability Partnership"
The 120-day residency figure replaced an earlier 182-day requirement through the 2021 amendment to the LLP Act. If a partner's stay in India is borderline, verify the current rule on the MCA portal before filing.

The LLP Registration Process, Stage by Stage

The LLP registration process takes about 7 to 10 working days when documents are clean, according to timelines that incorporation firms commonly quote. Any query from the Registrar pushes that out. Here are the stages in the order you will meet them.

1

Digital signatures for designated partners

The FiLLiP form is signed digitally. Each proposed designated partner needs a Class 3 Digital Signature Certificate (DSC) from a licensed certifying authority, which usually takes a day or two after identity checks. You will reuse this token for every later MCA filing, so store it safely.

2

DIN for designated partners

Designated partners also need a Director Identification Number (DIN). If they have none, FiLLiP lets you apply for up to two as part of the same filing. You may still hear the older term DPIN. It has been replaced by DIN, so DSC and DIN are the two identifiers you need to sort out before anything else.

3

Pick and check the name

Shortlist two or three names. Search them in the MCA name database and in the trademark register. The name can be reserved separately through RUN-LLP or proposed inside FiLLiP. A name that collides with a registered mark can be rejected, or challenged after you start trading. If you want the brand protected, our team handles that under Trademark Registration India.

4

File FiLLiP

FiLLiP is the incorporation form. You enter the proposed name, the business activity, the registered office, each partner's details and each partner's contribution. Attach the documents, sign with DSC, and pay the fee. The same form requests PAN and TAN.

5

Receive the certificate and LLPIN

When the Registrar approves, MCA issues the Certificate of Incorporation carrying the LLPIN. The LLP legally exists from the date printed on it.

6

Execute and file the LLP agreement

Draft the agreement, stamp it as your state requires, have the partners sign, and file it in Form 3 within 30 days. The drafting section below lists what to put in it.

7

Bank account and tax registrations

Open a current account in the LLP's name. If your turnover or the nature of your sales requires it, register for GST. Our overview of Online GST Registration Services explains who must register and when.

Documents Required for LLP Registration

Each partner supplies identity and address proof. The LLP supplies proof of its office.

Who Documents Remarks
Indian partners PAN card Compulsory
Indian partners Aadhaar, passport, voter ID or driving licence One of these as identity proof
Indian partners Bank statement, utility bill or phone bill Address proof, usually not more than two months old
Indian partners Recent passport-size photograph
Foreign partners Passport and overseas address proof Normally notarised or apostilled
Registered office Recent electricity, water or gas bill, or property tax receipt Must be recent
Registered office, owned Sale deed or ownership proof
Registered office, rented Rent agreement plus no-objection letter from the owner Owner's written consent
Corporate partners Board resolution and nominee details, plus incorporation papers
Most of the queries we see raised on filings come from two sources: an old utility bill, and a name spelled differently on PAN and Aadhaar. Check both before you submit.

LLP Registration Fees in India

Think of the cost in two buckets: what you pay the government, and what you pay anyone who helps you.

Item Amount Comment
RUN-LLP name reservation ₹200 Per application
FiLLiP filing Starts at ₹500 ₹500 where contribution is up to ₹1 lakh; higher slabs apply as contribution rises
Form 3 filing Small MCA fee Depends on contribution
Stamp duty on LLP agreement Varies by state Check your state's schedule
Class 3 DSC Roughly ₹1,500 to ₹2,000 each Varies by provider and validity
DIN Covered in FiLLiP for up to two designated partners Additional ones are charged

Published fee tables from private firms disagree about the top FiLLiP slabs, so only the lowest slab is given here. Use the MCA fee calculator for your exact figure. For a two-partner LLP with a modest contribution, government and stamp costs commonly run to a few thousand rupees before professional charges.

A practical point: do not shave the contribution down purely to lower the filing fee. The figure also decides whether you cross the audit threshold, and banks and clients read it as a signal of seriousness.

LLP Agreement Drafting: What It Must Settle

If you never sign an agreement, the default rules in the LLP Act fill the gap. Those rules are generic. They rarely match what two business partners had in mind when they started, which is why disagreements over money tend to land on the default clauses. A tailored agreement removes that risk.

A good LLP agreement settles these questions:

Money in. Who contributes what, in cash or in kind, and by which date.
Money out. The profit and loss ratio, which does not have to mirror contribution.
Authority. Which decisions need every partner's consent, and which one designated partner can take alone.
Pay. Whether partners draw remuneration or interest on capital. The Income Tax Act limits how much of this is deductible, so confirm with your tax advisor.
Joining and leaving. Notice period, how the share is valued, and when the payout happens.
Death or incapacity. Whether the LLP carries on and how the heirs are paid.
Disputes. A sequence, such as negotiation, then mediation, then arbitration, with a named city.
Restraints. Confidentiality and non-compete terms, which matter a great deal in professional-services LLPs.

Any later change in partners or contribution means amending the agreement and reporting it to the MCA within 30 days.

Mandatory Compliance After Incorporation

Incorporation is only the first filing. An LLP that stays silent for a year collects penalties, even with zero revenue.

Filing Purpose Deadline Late fee
Form 3 LLP agreement or amendment 30 days from incorporation or from the change ₹100 per day, no cap
Form 4 Change of partner or designated partner 30 days from the change ₹100 per day
Form 11 Annual return 30 May for the previous financial year ₹100 per day
Form 8 Statement of accounts and solvency 30 October for the previous financial year ₹100 per day
Income tax return LLP's yearly return As the Income Tax Act prescribes As per the Act
Audit. Two audit points are worth knowing. Under the LLP Rules, accounts must be audited when annual turnover is above ₹40 lakh or contribution is above ₹25 lakh. Tax audit under the Income Tax Act has separate limits, so an LLP can be exempt from one and caught by the other.
Small LLP. The 2021 amendment also defined a "small LLP": contribution up to ₹25 lakh and turnover up to ₹40 crore. Small LLPs pay lower penalties on defaults. That softens the damage but does not remove the duty to file.
Taxation. LLP profit is taxed at a flat 30%, plus surcharge where applicable and 4% cess. Partners are not taxed a second time on their share of profit. Current rates sit on the Income Tax Department site, and rules for GST registration are on the GST portal.

LLP or Private Limited Company?

A quick side-by-side of the two structures:

Factor LLP Private Limited Company
Law LLP Act, 2008 Companies Act, 2013
Equity funding Cannot issue shares Can issue shares; investors prefer it
Annual burden Lighter Heavier, with board meetings and mandatory audit
Ownership flexibility Set by the agreement Shares and shareholder agreements
Usual fit Professional services, family firms, small trading units Startups planning funding or ESOPs

This is a general comparison. The right answer for you depends on funding plans, the number of owners and your tax position.

Mistakes That Slow Registration Down

Avoid these common errors:

Choosing a name close to an existing brand, then getting it rejected.
Uploading an outdated utility bill, or forgetting the owner's no-objection letter.
Leaving small differences between PAN and Aadhaar details.
Treating the 30-day Form 3 deadline as a suggestion, when the late fee runs daily.
Skipping Form 11 and Form 8 because the LLP earned nothing.

Questions Founders Ask About LLP Registration

A late fee of ₹100 per day applies to each form, with no cap. Prolonged default can end with the Registrar striking the LLP off.
